PART 1. Terms of Use/User’s Guidelines
Welcome to the WowSuite website, a source for information about using WowSuite's services.
These Terms of Use or User’s Guidelines (referred to as the “User’s Guidelines” or “Terms of Use”), are between you ("Customer" or “You”) and Global Performance Commerce Limited Inc. ("WowSuite A.I." or “We” or “our”), a Delaware corporation, including its subsidiaries, affiliates, predecessors, successors, and assigns. You can reach us at accounts@wowsuite.ai. When you click "I Accept" and use any part of the WowSuite website, you agree to follow these User's Guidelines, which include our Privacy Policy and any other relevant documents. If you don't agree with these guidelines, you can't use the WowSuite website or any of its services.
These User's Guidelines apply when you use the WowSuite website on a computer, mobile phone, or any other device. They also apply when you use the WowSuite website over the internet or other communication networks.
We may change these User's Guidelines at any time. It's your responsibility to check this page for updates. If you continue to use the WowSuite website after we make changes, it means you accept those changes.
Terms of Use/User’s Guidelines - Table of Contents
Section 1. Proper Use of the Website
To access and use the content on the WowSuite website, you must follow these User’s Guidelines. We reserve the right to refuse our services to anyone for any reason. You cannot copy, sell, or exploit any part of the WowSuite services (“WowSuite Services”) or access them without our written permission.
You are responsible for your actions and any actions on your behalf when using the website. To use the website, you must meet these requirements:

Be at least 18 years old and capable of legally agreeing to these User’s Guidelines
b.
Have the necessary rights and authority to agree to these guidelines, including agreeing on behalf of a third-party if needed
c.
Provide accurate, complete, and up-to-date information, including registration, personal, and payment information
d.
Follow all relevant laws, including data privacy laws
e.
Ensure that all data entered into the WowSuite services (Service Data) is within your right to share and does not contain any illegal, offensive, fraudulent, or obscene content
f.
Provide us with any information we request to verify that you meet these requirements.
What Not to Do
When using the WowSuite website, please make sure you do not:
a.
Break these User’s Guidelines or any other rules provided by us for using the WowSuite website.
b.
use the WowSuite Services for illegal purposes or for the transmission of material that is unlawful, defamatory, harassing, libelous, invasive of another's privacy, abusive, threatening, harmful, vulgar, pornographic, obscene, or is otherwise objectionable, offends religious sentiments, promotes racism, contains viruses or malicious code, or that which infringes or may infringe intellectual property or other rights of another.
c.
Interfere with or disrupt the website's operations.
d.
Harm the website's security or try to find security weaknesses.
e.
Manipulate or circumvent the website's features or operations.
f.
Post false, inaccurate, or misleading information.
g.
Use automated systems such as robots or crawlers to collect or compile website content.
h.
Display the website or its parts within a frame or link to elements like images separately from their original pages.
i.
Alter the design of the website's content when displaying it.
j.
Pretend to be someone else or make false statements about your identity.
k.
Collect, harvest, or process personal information of other users without their permission.
l.
Harass, abuse, threaten, impersonate, or intimidate other users.

Link to the WowSuite website from pages with pornographic content or content promoting racism, discrimination, or other wrongdoings.
Section 2. Joining and User Account Information
To use some of our services, you need to create an account with us. Here are some things you should know:
a.
Fill out the registration forms with accurate and complete information. We'll let you know which information is required.
b.
Keep your username and password private and change your password every 6 months.
c.
You're responsible for the accuracy of the information you provide and any actions taken using your account.
d.
We may cancel your account at any time if we think you've violated these User’s Guidelines, the law, or harmed WowSuite or others.
e.
If we cancel your account, we'll let you know by email and the cancellation will happen on the date specified in the email.
f.
Please note that when you share information with us, it may be transferred unencrypted and may be changed to work with different networks and devices. We always encrypt your credit card information when we transfer it.
Section 2.1 Access to WowSuite Services
2.1.1 Service Availability. We'll try our best to keep the WowSuite Services and your Service Data accessible 24/7. However, there may be occasional downtime for planned maintenance or unexpected events. You have the right to access and use the WowSuite Services for your business needs, but we keep all other rights. We'll provide standard customer support for free, and extra support is available for a fee. We may change the WowSuite Services over time, but we'll give you advance notice for significant changes.
2.1.2 Sharing with Affiliates. You can share your access to the WowSuite Services with your affiliates, contractors, or service providers, but you're still responsible for their compliance with these User’s Guidelines.
Section 2.2 Using WowSuite Services
2.2.1 Login Management. The number of people who can access the WowSuite Services depends on your Service Plan. Each Agent must have their own login, and you can't share or use one login for multiple people. You must keep your login information confidential and not use it to bypass the need for a separate login. If you use the services in a way that violates these User’s Guidelines, the Privacy Policy, or any Purchase Order, we may charge you extra fees and take other action.
2.2.2 Compliance. You're responsible for making sure everyone who uses the WowSuite Services under your account follows these User’s Guidelines and complies with all laws and regulations.
2.2.3 Content and Conduct. In addition to following other rules, you agree not to:
(a) Change, hack, or try to access the WowSuite Services without permission;
(b) Bypass or compromise the security of the WowSuite Services or interfere with their operation;
(c) Try to discover the source code of any software used in the WowSuite Services;
(d) If you're in the health insurance industry and subject to HIPAA, don't use the WowSuite Services to store or transmit any "protected health information" unless we agree in writing.
2.2.4 CTRWOW
CTRWOW is an integral part of WowSuite Services. You may use CTRWOW-designed templates, contents or elements (“CTRWOW Content”) only if you have a valid and active registered account with CTRWOW, fully pay the required fees due and keep your account in good standing. By using CTRWOW or any CTRWOW Content, you agree to the following:
A. Attribution and DMCA Compliance:
Every page deployed by CTRWOW (with a valid and active registered account with CTRWOW) must display (i) an attribution badge indicating “Built with CTRWOW” and (ii) a DMCA compliance notice. In this case, the aforementioned attribution badge and the DMCA compliance notice are automatically inserted in the footer of each page and generated by CTRWOW in a standard font and size.

In case you do not have a valid and active registered account with CTRWOW or our written consent to use CTRWOW Content, every page copies and uses CTRWOW Content must display an attribution badge indicating “Designed by CTRWOW” in the footer of each page. In this case, you can add our attribution badge to your website footer in one of the following ways:
(i) Using our script available here; or
(ii) Download the attribution badge “Designed by CTRWOW” here and add it to your website footer.
B. Non-Removal of Badges: You are prohibited from altering, obscuring, or removing the attribution badge and/or DMCA compliance notice from any page deployed by CTRWOW or using CTRWOW Content.
C. Design Modification Rights: We reserve the right to modify or update the design of the attribution badges and the DMCA compliance notice at any time without prior notice.
D. License of CTRWOW Content:
We grant you a non-exclusive, non-assignable, and non-transferable license to use CTRWOW Content, provided that you maintain a valid and active registered account with CTRWOW, fully pay the required fees due and keep your account in good standing. At our sole discretion, we reserve the right to revoked the license granted to you under this clause at any time. Except as expressly provided in these Terms, no other rights, including without limitation, intellectual property rights are granted to you.
Section 2.3. Subscription Renewal, Temporary Block of Account and Termination
2.3.1 Subscription Renewal. Unless you cancel your account or it's terminated, your WowSuite Services subscription will renew automatically for a term equivalent to the length of your current subscription. You'll be charged the same amount for each renewal period as you did for the previous one.
2.3.2 Subscription Tiers. WowSuite offers various options for using its services, and the prices for each are available on the WowSuite website. (Note: the specific tiers would be inserted here.)
2.3.3 Temporary Block of User Account: If WowSuite A.I. fails to automatically charge your services fee for the use of WowSuite Services to your credit card on a monthly basis for any reason, we will send a written notice to your email to request you to provide the correct information of the credit card or to conduct any necessary action to reactivate your credit card. Consequently, if WowSuite A.I. still does not receive the services fee via your credit card, we shall send a second written notice to your email to inform you that WowSuite A.I. shall block the access to your account immediately (“Block Notice”). After WowSuite A.I. successfully charges the services fee due and payable to WowSuite A.I. in your credit card within thirty (30) days from the date of the Block Notice, we will reactivate the access to your account. Otherwise, WowSuite A.I. will decommission the front-end access to and hosting of your account. After ninety (90) days from the date of the Block Notice, WowSuite A.I. will delete all personal data in its possession as provided in the relevant service agreement except to the extent WowSuite A.I. is required by applicable privacy law to retain some or all of the personal data (in which case WowSuite A.I. will archive the data and implement reasonable measures to prevent the personal data from any further processing).
2.3.4 Termination. Either you or WowSuite can end your subscription at the end of your current term, with a notice of 30 days.
2.3.5 Termination Due to Violation. If either party violates the terms of use, the other party may terminate the subscription immediately. If termination of these Terms of Use is due to your default hereunder, you shall bear all costs of such termination, including any reasonable costs WowSuite A.I. incurs in closing your account and you further agree to pay any and all costs incurred by WowSuite A.I. in enforcing your compliance with this Section. Upon termination, you must destroy any copy of the materials licensed to you hereunder and referenced herein. You agree that upon termination or discontinuance for any reason, we may delete all information related to you on the WowSuite Service, if applicable. In addition to the terms set forth herein, certain WowSuite A.I. Services may have additional terms regarding termination, which are set forth in the applicable supplemental service or product agreements. Moreover, should you or we cancel or terminate your Services at any time prior to the completion of the applicable term, such cancellation or termination may result in our application of an early termination fee charged to your account, in our sole and absolute discretion and with notice to you.
2.3.6 Termination by WowSuite. If WowSuite believes that you or someone using your account has violated the Terms of Use, WowSuite reserves the right to stop your use of the WowSuite Services or any part of it, including deletion of your Service Data. WowSuite may also terminate your access to the services if it discovers harmful software connected to your account. WowSuite will make reasonable efforts to notify you via email before taking such action. WowSuite will not be held responsible for any problems caused by the termination of services. If WowSuite suspects illegal activity, it may report it to the authorities.
2.3.7 Early Termination. If you terminate your subscription before the end of your current term, you'll still be responsible for paying the remaining amount for that term. No refunds will be given for early termination.
2.3.8 Data Retention After Termination. After your subscription ends, WowSuite will allow you to download your data for 30 days. However, if you violated the terms of use, WowSuite may not allow you to download your data.
Section 2.4. Subscription Upgrades and Downgrades
2.4.1 Upgrading Your Subscription. If you wish to enhance your subscription or add more employees during your active subscription term, you'll have to pay an additional fee. The increased payment amount will continue for subsequent subscription terms.
2.4.2 Downgrading Your Subscription. You are unable to downgrade your subscription or remove employees during your active subscription term. If you want to make such changes, you must notify WowSuite 30 days prior to the end of your subscription term. If you do downgrade your subscription, you may lose access to some of the services previously included. WowSuite will not be held responsible for any losses incurred.
Section 2.5. Taxes
2.5.1 Tax Exclusions. The prices for WowSuite's services do not include taxes. You are responsible for paying any applicable taxes. WowSuite may charge these taxes to the credit card you have on file or collect them using the same payment method you used for your order.
All quoted prices and fees exclude all applicable sales tax, use tax, value added tax (“VAT”), and other taxes and government charges, whether federal, state or foreign. You are responsible for payment of all such taxes (other than based on WowSuite A.I. 's income), fees, duties and charges on your payment for the purchase of our WowSuite Services. Accordingly, you agree to pay all VAT, sales and other taxes (other than taxes based on WowSuite A.I. income) related to WowSuite A.I. Services or payments made by you hereunder. All payments of prices and fees for WowSuite A.I. Services shall be made in U.S. dollars. Although WowSuite A.I. may display pricing in various currencies, transaction processing is supported only in U.S. dollars and the pricing displayed during the checkout process will be an estimated conversion price at the time of purchase. If the currency of your bank or credit card account is not in U.S. dollars, you may be charged exchange rate conversion fees by your bank or credit card company. In addition, due to time differences between (i) the time you complete the checkout process; (ii) the time the transaction is processed; and (iii) the time the transaction posts to your bank or credit card, the conversion rates may fluctuate and WowSuite A.I. makes no representations or warranties that (a) the amount submitted to your bank or credit card for payment will be the same amount that is posted to your bank or credit card statement or (b) the estimated conversion price will be the same as either the amount processed or the amount posted to your bank or credit card statement, and you agree to waive any and all claims against WowSuite A.I. based upon such discrepancies (including any and all claims for a refund based on the foregoing). You acknowledge and agree that you may be charged VAT based on the country indicated in the account holder’s address information associated with your account. Set up prices and fees, if any, will become payable on the applicable effective date for the applicable Services.
Section 2.6. Payment Terms
2.6.1 Payment Terms. You're required to pay for your subscription at the start of each subscription term, unless otherwise specified in the terms of use or a Purchase Order. You must also keep your payment information up-to-date. We will require you to provide us with a valid payment method so that we can pay for all your incurred and recurring fees. We will keep your payment method confidential and we will continue to charge any applicable fees to your payment method in our file until you terminate our services and all outstanding fees have been paid in full. To be very clear, once you provide us with your payment method, all charges, including charges for other software related to receiving the services we are providing, can be charged to your payment method. If you don't make timely payments or update your payment information, WowSuite may restrict your access to its services.
2.6.2 Payment Method. Payment for the WowSuite Services are to be made via a charge to your credit card provided to us. You are solely and absolutely responsible for any credit card information that you provide to WowSuite A.I. and must promptly inform WowSuite A.I. of any changes or updates to the method of payment. By accepting these Terms of Use, you authorize WowSuite A.I. (or our third party service provider) to automatically charge the payment for the WowSuite Services fee or any additional usage exceeding the contractual usage in your Credit Card on a monthly basis as stipulated in our software services agreement.. At our discretion, you may be charged additional processing fees on top of the base fees that will be charged to your payment method in exchange for the services you will receive. You will receive a receipt for each payment made. If there are any issues with your payment, you can update your credit card information through the WowSuite Services.
2.6.3 Payment Portal Fees. If you request the use of a payment portal that incurs fees for WowSuite, you will be responsible for paying these fees to WowSuite.
Section 2.7. Ownership of Service Data
2.7.1 Ownership of Data. You acknowledge and agree that pursuant to these Terms of Use, WowSuite A.I. may make available information you provide or that we otherwise maintain to such public or private third parties as applicable laws require or permit, including, but not limited to, making publicly available, or directly available to third parties as mentioned in this section.
You further acknowledge and agree that WowSuite A.I. may be publicly available or directly available to third parties, some or all the information you provide for purposes of inspection (such as through our WHOIS service) or for targeted marketing and other purposes as required or permitted by applicable laws. One of the ways that WowSuite A.I. may make some or all the information you provide available to the public or third parties is by way of bulk WHOIS data access provided to third parties who enter into a bulk WHOIS data access agreement with WowSuite A.I..
You hereby consent to all such disclosure and the use of guidelines, limits and restrictions on such disclosure or the use of information provided by you regarding the registration of a domain name or use of any WowSuite Services (including any updates to such information), whether during or after the term of your registration of a domain name or other WowSuite Services. You hereby irrevocably waive all claims and causes of action you may have arising from such disclosure or use of information provided by you to WowSuite A.I..
We will not process data about any identified or identifiable natural person that we obtain from you in a way incompatible with the purposes and other limitations which we describe in these Terms of Use
2.7.2 Non-Disclosure of Data. WowSuite will not sell, rent, or lease your Service Data to any third party. WowSuite will only share your Service Data with others as permitted by the Terms of Use and when necessary to provide, secure, and improve its services.
2.7.3 Data Security. WowSuite A.I. will take reasonable precautions to protect the information it obtains from you from our loss, misuse, unauthorized access or disclosure or use, or alteration or destruction, of that information. You acknowledge and agree that WowSuite A.I. shall have no liability to you or any third party to the extent such reasonable precautions are taken.
In the event that (i) in applying for any WowSuite Services or the registration of a domain name you are providing information about a third party or (ii) you license a domain name registered in your name to a third party, you hereby represent and warrant that you have (a) provided notice to that third party of the disclosure and use of that party's information as set forth in these Terms of Use and (b) obtained that third party's express consent to the disclosure and use of that party’s information as set forth herein.
You acknowledge and agree that willfully providing inaccurate or unreliable information or willfully failing to update information promptly will constitute a material breach hereof that will be a sufficient basis in our sole and absolute discretion to cancel your domain name registration or other WowSuite Services. You further acknowledge and agree that your failure to respond for over fifteen (15) calendar days to an inquiry by WowSuite A.I. concerning the accuracy of contact information details associated with your domain name registration shall constitute a material breach hereof and is a sufficient basis for the cancellation of your domain name registration.
Without limiting your obligations under this Section of these Terms of Use, you agree that WowSuite A.I. (itself or through its third-party service providers) is authorized, but not obligated, to use certain address or billing correction services to update and/or to change any address or billing information associated with your account (including, without limitation, registrant address, billing contact address and credit card information), and you agree that WowSuite A.I. may use such changed information for all purposes in connection with your account (including the sending of renewal notices, invoices, order confirmations or for automatic renewal charges). You acknowledge and agree that communications with us are not private and may be published either in their entirety or in edited form at any time, at the sole and absolute discretion of WowSuite A.I..
You may have access to our confidential, proprietary or trade secret information whether disclosed orally or in writing through any media (“Confidential Information”). You acknowledge that the Confidential Information contains valuable trade secrets and other proprietary information and remains our sole and exclusive property. You will restrict disclosure of Confidential Information to your officers, directors, employees, affiliates and agents with a need to know, and will otherwise protect Confidential Information as it protects its own proprietary information (but will in no case take less than reasonable measures). No information will be deemed “Confidential Information” to the extent that you can show that it: (a) was in the public domain when communicated to you; (b) is communicated to you free of any confidentiality obligation; or (c) was in your possession free of any obligation of confidence when first communicated. You will not be in violation of this Section by making a disclosure in response to a valid order by a court or other governmental body, provided that, if permitted by law, you shall provide us prompt notice of such impending disclosure to permit us to seek confidential treatment thereof.
Section 2.8. Non-WowSuite Services and Third-Party Service Providers
Your purchase of the WowSuite Services, continued use of the WowSuite Services, or continued access to the WowSuite Services constitutes your acceptance of these Terms of Use. If you purchase WowSuite Services that are sold together as a “bundled” package, termination of any part of the WowSuite Services will result in the termination of all WowSuite Services provided as part of the bundled package. WowSuite A.I. further reserves the right to modify the WowSuite Services, at our sole and absolute discretion, either temporarily or permanently, at any time or from time to time, with notice to you.You agree that WowSuite A.I. shall not be liable to you or any third party for any such modification of the WowSuite Services and that your continued use of the modified WowSuite Services, or continued access to the modified WowSuite Services, constitutes your acceptance of any such modifications.
In addition to these Terms of Use, you also agree to be bound by the additional service-specific terms applicable to WowSuite Services you purchased from, or that are provided by our partners or other third parties.
You acknowledge and agree that some or all of the WowSuite Services you purchase or receive from us may be provided by one or more vendors, contractors or affiliates selected by WowSuite A.I. in its sole and absolute discretion. We may from time to time, provide you with access to or enable third party software, applications, products, services or website links (collectively, “Third-Party Services”) for your use. Such Third-Party Services are made available only as a convenience, and your purchase, access or use of any such Third-Party Services is solely between you and the applicable third-party services provider (“Third-Party Provider”). Any use by you of Third-Party Services offered through the Services is entirely at your own risk and discretion, and it is your responsibility to read the terms and conditions or privacy policies applicable to such Third-Party Services before using them.
As part of the enrollment process, Third-Party Services providers may require you to accomplish additional forms or accept additional terms and conditions which may include separate fees and charges. Final activation of the Third Party Services is conditioned upon such accomplishment and acceptance. No fees for this service shall be charged until the Third-Party Service has been activated.
You acknowledge and agree that your use of any Third-Party Service to which you are provided access as part of any WowSuite A.I. Services are in accordance with the terms of any relevant third-party licenses, agreements or terms and conditions. Your failure to abide by any such third- party licenses, agreements or terms and conditions may result in the immediate termination of your Services provided by WowSuite A.I.. You understand and agree that WowSuite A.I. does not control such Third-Party Service and is therefore not liable to you or any third party for any issues of any kind relating to issues relating to Third-Party Service. WowSuite A.I. reserves the right, in its sole and absolute discretion, to terminate, suspend, cancel or alter your access to
Third-Party Service at any time with notice to you.
We do not provide any warranties with respect to Third-Party Services. You acknowledge that WowSuite A.I. has no control over Third-Party Services, and shall not be responsible or liable to anyone for such Third-Party Services. The availability of Third-Party Services on our websites or the integration or enabling of such Third-Party Services with the Services does not constitute or imply an endorsement, authorization, sponsorship, or affiliation by or with WowSuite A.I.. We strongly recommend that you seek specialist advice before using or relying on Third-Party Services, to ensure they will meet your needs.
If you choose to install or enable a Third-Party Service for use with the Services, you grant us permission to allow the applicable Third-Party Provider to access your data and to take any other actions as required for the interoperation of the Third-Party Service with the Services, and any exchange of data or other interaction between you and the Third-Party Provider is solely between you and such Third-Party Provider. WowSuite A.I. is not responsible for any disclosure, modification or deletion of your data or other materials, or for any corresponding losses or damages you may suffer, because of access by a Third-Party Service or a Third-Party Provider to your data or other materials. Under no circumstances shall WowSuite A.I. be liable for any direct, indirect, incidental, special, consequential, punitive, extraordinary, exemplary or other damages whatsoever, that result from any Third-Party Services or your contractual relationship with any Third-Party Provider. These limitations shall apply even if WowSuite A.I. has been advised of the possibility of such damages. The foregoing limitations shall apply to the fullest extent permitted by applicable law.
You agree to indemnify and hold us and (as applicable) our subsidiaries, affiliates, partners, officers, directors, agents, employees, and suppliers harmless from any claim or demand, including reasonable attorneys’ fees, arising out of your use of a Third-Party Service or your relationship with a Third-Party Provider
Section 2.9. WowSuite Beta Testing Terms
From time to time WowSuite may offer you to test a new Beta Product (as defined below) or you may choose to use a Beta Product. If you use a Beta Product, you agree to the beta testing guidelines outlined in this section. All fees and costs associated with the use of the Beta Product will be outlined in the checkout page before your payment.
2.9.1 Definition of Beta Product
A "Beta Product" refers to any products, software, services, or features marked as beta versions on a WowSuite website or service provided to you during the beta testing period.
2.9.2 Termination of Beta Testing Terms
These Beta Testing Terms shall terminate immediately upon the end of the Beta Testing period. The remaining provisions of this WowSuite Terms of Use will continue to apply. By continuing to use WowSuite after the Beta Testing ends, you agree to continue to be bound by the WowSuite Terms of Use.
2.9.3 Beta Product License. Upon approval of your account on the WowSuite website, WowSuite grants you a license to use the WowSuite Beta services solely for testing, research, and evaluation purposes. You are not permitted to modify, disassemble, reverse-engineer, rent, lease, loan, transfer, or make copies of the Beta Product.
2.9.4 Beta Product Ownership. WowSuite retains all rights to the Beta Product and its related documentation, including any improvements or changes made. No additional rights are granted to you beyond those outlined in WowSuite Terms of Use.
2.9.5 Beta Product Confidentiality. All information about the Beta Product, including its operation and any related data, is confidential and belongs to WowSuite. You may only use this information for testing and research as part of these Beta Testing Terms and may not share it with others. This confidential obligation does not apply to information already known to you, obtained from another source without any restrictions, or that becomes public knowledge without your involvement.
2.9.6 Beta Testing Termination.These Beta Testing Terms will end automatically when WowSuite releases the final version of the Beta Product. WowSuite may choose not to release a final version and can change, replace, modify, or cancel these Beta Testing Terms at any time with or without written notice. No compensation will be provided upon termination of the Beta Testing Terms.
2.9.7 Beta Testing Data & Feedback. By using the Beta Product, you agree that WowSuite may collect information and data from you, including personal information to improve our website and services and share it with partners. You also agree to provide feedback and participate in surveys about the Beta Product. WowSuite may use this feedback for our products and services improvements.
2.9.8 Beta Testing "As-Is". The Beta Product is provided "as-is" for testing purposes and may contain errors. WowSuite disclaims all implied warranties of merchantability, non-infringement, and fitness for a particular purpose to the fullest extent permitted by law. By participating in the beta testing program, you agree to allow WowSuite to test any features or aspects of the Beta Product without our notice to you or your prior approval.
2.9.9 Beta Testing Responsibility.  WowSuite, even if we knew the possibility of these damages, will not be liable for any direct, indirect, incidental, special, consequential, or punitive issues, damages, or losses arising from your (i) use of the Beta Product, (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content. By using the Beta Product, you acknowledge that you are participating in a testing program and agree to hold WowSuite harmless from any liability related to your use of the Beta Product. These limitations will still apply even if the main remedy fails.
2.9.10 Other Terms. These Beta Testing Terms will be governed by the laws of the state of Delaware, USA, without regard to its conflict of laws principles. You cannot change or transfer these Beta Testing Terms without our written permission. You must follow all export and import laws and regulations that apply to the technology and documentation we provide. This document constitutes the entire agreement between us and it cannot be changed unless we both agree in writing. If any provision is found to be unenforceable, the remaining provisions will remain in effect. The rest of the WowSuite Terms of Use will still apply even after these Beta Testing Terms end.
Section 2.10. Assignment and Agreement Terms
2.10.1 Assignment. You may not assign or transfer, either directly or through a third party, these Terms of Use or any of its interests, rights or obligations hereunder (in any domain, website, product or service), without the prior written consent of WowSuite A.I.. Any attempted assignment in violation of the foregoing provision will be null and void and of no force or effect whatsoever. WowSuite A.I. may assign its rights and obligations under hereunder, and may engage subcontractors or agents in performing its duties and exercising its rights hereunder, with notice to or consent of the Customer. These Terms of Use are binding upon and shall inure to the benefit of the Parties hereto and their respective successors and permitted assigns.
2.10.2 Entire Agreement. These Terms of Use, as well as any additional WowSuite A.I. rules, policies and service and service level agreements, together with all modifications thereto, constitute the entire agreement between you and WowSuite A.I. concerning your use of the WowSuite Services and any other subject matter related to the Terms of Use. You may not waive, modify or supplement these Terms of Use, in whole or in part, except for written permission or amendment by WowSuite A.I.. WowSuite A.I. reserves the right, in its sole and absolute discretion, to unilaterally change, modify or revise these Terms of Use, and any incorporated policies, agreements or notices, from time to time and with notice to you. Such changes, modifications or revisions shall be effective immediately upon your signing of a hard copy or our posting to this website and other relevant websites, whichever comes earlier. It is your responsibility to check this website or the relevant websites regularly for such changes, modifications or revisions. Your continued use of the Services after the posting constitutes your notice, agreement to, and acceptance of such changes, modifications or revisions. If any change, modification or revision is not acceptable to you, stop using the WowSuite Services.
Section 2.11. Export Compliance and Usage Restrictions
The WowSuite Services and other WowSuite technology may be subject to laws and regulations regarding export controls and economic sanctions of the United States and other countries. You must follow all such laws and regulations as they relate to accessing the WowSuite Services and other WowSuite technology. You acknowledge and agree that you shall not import, export or re-export directly or indirectly, any commodity, including your products incorporating or using any WowSuite A.I. Services, in violation of the laws and regulations of any applicable jurisdiction. You warrant as Customer, agent and/or licensor of Customer, that you are not, nor is Customer acting on behalf of, any person or entity that is prohibited from engaging in transactions with U.S. citizens, nationals or entities under applicable U.S. laws and regulations including, but not limited to, regulations issued by the U.S. Office of Foreign Assets Control ("OFAC"). In addition, you are not, nor is Customer acting on behalf of, any person or entity that is a Specially Designated National ("SDN"), as OFAC may so designate from time to time. In addition to all other rights and remedies available to WowSuite A.I. hereunder and at law and in equity, you and/or Customer's breach of this Section will result in immediate termination of the Terms of Use and forfeiture of all WowSuite Services or amounts previously provided, paid and/or owed to Customer hereunder.
Section 2.12. Relationship of the Parties
You and WowSuite are independent contractors and not partners, franchisees, joint venturers, agents, fiduciaries, or employees of each other. These Terms of Use do not create any of these relationships between you and WowSuite.
Section 3. Links to Other Websites
The WowSuite website may have links to content on other websites or external sources that are provided by third-party companies. We do not control or monitor these websites and their content. Some of the information and content on these linked sites might not meet your requirements or you might not like it. When we link to another website, it does not mean we endorse, support, or guarantee the accuracy, credibility, authenticity, reliability, validity, integrity, or legality of the content on that site. We are not responsible for these third-party websites or their content, or for their availability.
Section 4. Financial Information
Financial information, like financial reports and the value of WowSuite shares, may be available on the WowSuite website. We try to make sure this information is accurate, but mistakes can happen during the process of collecting, processing, and posting it. If you want to use this information, you need to double-check it. Posting this information does not give advice or suggest any transactions or financial developments, including buying or selling WowSuite securities. You are fully responsible for any decisions you make based on this financial information.
The WowSuite website may have forward-looking statements about future events and projects. These statements are based on our current expectations and include risks and uncertainties. They might also depend on things that may not happen. So, what actually happens could be different from what these statements say. We may not always keep these statements up to date and we do not have any obligations related to them, except as required by law.
Section 5. Privacy
5.1. Privacy Policy
We take privacy seriously and have a Privacy Policy that outlines our accepted privacy practices on the WowSuite website. This policy is incorporated into these Terms of Use.
5.2. Data Processing Agreement and Subscriber as Data Controller
If the data processed through the WowSuite Service (referred to as "Service Data") constitutes personal data, both parties agree that you will be considered the Data Controller and the relevant entity at WowSuite will be considered the Data Processor as defined under applicable data protection laws. Our Privacy Policy and the following paragraphs outline how we process Service Data as the Data Processor.
5.3. Processing Requirements
WowSuite A.I. represents and warrants that it shall process such personal data only as may be required and necessary to provide the services and as may subsequently be agreed between the parties in writing. WowSuite A.I. shall maintain reasonable and appropriate processes and technical measures that will ensure that reasonable and lawful instructions can be complied with upon your written request, including the following: updating, amending or correcting the personal data of any individual, canceling or blocking access to any personal data and providing a written record of the processing of personal data. WowSuite A.I. shall, promptly following receipt of written notice, delete personal data from its records and, upon completion of the services, comply with all reasonable instructions with respect to the deletion of any remaining personal data. WowSuite A.I. shall comply with all applicable privacy law to the extent applicable to the provision of the services. WowSuite A.I. shall co-operate and comply with the directions or decisions of a relevant privacy authority, in each case (a) solely to the extent applicable to WowSuite A.I. s provision of the WowSuite Services, and (b) within such reasonable time as would enable it to meet any time limit imposed by the privacy authority. WowSuite A.I. shall ensure the reliability of any employee who has access to your personal data and that such personnel is under an appropriate obligation of confidentiality (whether a contractual or statutory duty). WowSuite A.I. will remain liable for any disclosure of personal data by each such employee as if it had made such disclosure itself. WowSuite A.I. shall appoint a data protection officer in compliance with Regulation (EU) 2016/679.
5.4. Legitimate Interests
Notwithstanding anything to the contrary in other agreements including these Terms of Use, you acknowledge that WowSuite A.I. will have a right to use and disclose data relating to the operation, support or use of the WowSuite Services for its legitimate business purposes, such as, but not limited to, billing, account management, technical support, product development and sales and marketing in accordance with applicable privacy law.
5.5. Sub-processors
You acknowledge and agree that WowSuite may use sub-processors who may access Service Data to provide, secure, and improve the WowSuite Service. WowSuite will be responsible for the actions and omissions of its personnel and sub-processors to the same extent as if WowSuite were performing the services directly under these Terms of Use. The names and locations of all current sub-processors used for the processing of personal data within Service Data can be requested.
5.6. Breach Notification
Unless otherwise prohibited by applicable law, WowSuite A.I. shall notify you, as soon as is reasonably possible but in any event no later than within seventy-two (72) hours after becoming aware of any security breach of personal data. Such notification shall include detailed description, likely consequences, proposed measures and contact details of WowSuite A.I.’s data protection officer and any other information you may reasonably request relating to the security breach. WowSuite A.I. shall take prompt action to investigate the security breach and shall use industry standard, commercially reasonable, efforts to mitigate the effects and to carry out any action necessary to remedy the security breach. Unless required to do so under applicable privacy law, WowSuite A.I. shall not release or publish any filing, communication, notice, press release, or report concerning any security breach.
5.7. Privacy Impact Assessment
WowSuite A.I. shall, promptly upon receipt of your written request, at your cost, make available to you such information as is reasonably necessary to demonstrate WowSuite A.I. s compliance with applicable privacy law. WowSuite A.I. shall reasonably cooperate with a partner to implement such mitigation actions as are reasonably required to address privacy risks identified. However, unless pursuant to a security breach, or is otherwise required by applicable privacy law, you shall not make any such request more than once in any 24 month period.
5.8. Third-Party Disclosure Requests
Unless prohibited by applicable law, WowSuite A.I. shall, inform you promptly of any inquiry or complaint from any governmental, regulatory or supervisory authority and shall provide all reasonable assistance, to enable you to respond and to meet applicable statutory or regulatory deadlines. WowSuite A.I. shall ensure that any sub-processor shall, not disclose personal data unless it is legally required to do so and has otherwise complied with the obligations in these Terms of Use. Unless prohibited by applicable law, in the event that WowSuite A.I. or any sub-processor is required by law to disclose any personal data, WowSuite A.I. shall and shall ensure that any sub-processor shall, notify you promptly and shall provide all reasonable assistance to you, at your cost, to enable you to respond to any such demands and to meet applicable statutory or regulatory deadlines. WowSuite A.I. shall ensure that any sub-processor shall not disclose personal data pursuant to a legal request unless it is required to do so and has otherwise complied with the obligations in these Terms of Use.
Section 6. Intellectual Property
Except as otherwise set forth herein, all right, title and interest in and to: (i) all registered and unregistered trademarks, trade names, service marks and logos; (ii) all patents, patent applications and patentable ideas, inventions and/or improvements; (iii) all trade secrets, proprietary information and know-how; (iv) all divisions, continuations, reissues, renewals and extensions thereof now existing or hereafter filed, issued or acquired; (v) all registered and unregistered copyrights including, but not limited to, any forms, images, audiovisual displays, text and software; and (vi) all other intellectual property, proprietary rights or other rights related to intangible property which are used, developed, comprising, embodied in or practiced in connection with any of the WowSuite A.I. Services identified herein (collectively, "WowSuite A.I. Intellectual Property Rights") are owned by WowSuite A.I. or its licensors, and you agree to make no claim of interest in or ownership of any such WowSuite A.I. Intellectual Property Rights. You acknowledge and agree that no title to the WowSuite A.I. Intellectual Property Rights are transferred to you, and that you do not obtain any rights, expressed or implied, in WowSuite A.I. 's Service or its licensors' service, other than the rights expressly granted herein. To the extent that you create any derivative work (any work that is based upon one or more preexisting versions of a work provided to you, such as an enhancement or modification, revision, translation, abridgement, condensation, expansion, collection, compilation or any other form in which such preexisting works may be recast, transformed or adapted), any such derivative work is owned by WowSuite A.I. and all right, title and interest in and to each such derivative work automatically vests in WowSuite A.I.. WowSuite A.I. has no obligation to grant you any right in any such derivative work.
Section 7. Warranty Disclaimer
YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK, AND THAT EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WOWSUITE A.I. EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE OR TRADE PRACTICE. FURTHERMORE, WOWSUITE A.I. DOES NOT WARRANT THAT THE SERVICES OR ANY INFORMATION OBTAINED THEREBY WILL BE COMPLETE, ACCURATE, UNINTERRUPTED, SECURE OR ERROR FREE. WOWSUITE A.I. FURTHER MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, NOR DOES WOWSUITE A.I. MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES. WOWSUITE A.I. DOES NOT GUARANTEE QUANTITY OF TRAFFIC OR ANY TRAFFIC FOR ANY PARTICULAR OFFER.
Section 8. Limited Liability
You acknowledge and agree that WowSuite A.I. will not be liable under any circumstances to you or any other party, person or entity for any damages or losses that may result from the following:
A. TERMINATION, SUSPENSION, LOSS OR MODIFICATION OF YOUR SERVICES;
B. USE OF OR INABILITY TO USE THE SERVICES;
C. INTERRUPTION OF BUSINESS;
D. ACCESS DELAYS OR ACCESS INTERRUPTIONS TO THIS SITE OR A SERVICE (INCLUDING, WITHOUT LIMITATION, TO WEBSITES ACCESSED BY THE DOMAIN NAME REGISTERED IN YOUR NAME);
E. DATA NON-DELIVERY, MIS-DELIVERY, CORRUPTION, DESTRUCTION OR OTHER MODIFICATION;
F. EVENTS BEYOND WOWSUITE A.I.’S AND ITS SUBCONTRACTORS’ CONTROL;
G. APPLICATION OF ANY APPLICABLE LAW, REGULATION OR WOWSUITE A.I. POLICY (INCLUDING, BUT NOT LIMITED TO, ANY RELEVANT DISPUTE POLICY OR ANY OTHER ICANN OR SIMILAR GOVERNMENTAL OR SUCCESSOR ORGANIZATION ADOPTED POLICIES);
H. PROCESSING OF YOUR DOMAIN NAME APPLICATION, DNS SERVICE APPLICATION, OR OTHER SERVICE APPLICATION INCLUDING RENEWAL;
I. DISBURSEMENT OR NON-DISBURSEMENT OF FUNDS BY PAYMENT PROCESSORS;
J. TRANSACTIONS CONDUCTED ON A USER WEBSITE, INCLUDING FRAUDULENT TRANSACTIONS;
K. LOSS INCURRED RELATING TO YOUR SERVICES, INCLUDING, BUT NOT LIMITED TO, E-COMMERCE TRANSACTIONS;
L. LOSS OR LIABILITY RESULTING FROM ERRORS, OMISSIONS OR MISSTATEMENTS IN ANY AND ALL INFORMATION OR SERVICES PROVIDED UNDER THIS AGREEMENT (This includes loss of data resulting from delays, non-deliveries, mis-deliveries or service interruptions caused by WowSuite A.I.’s own negligence or your errors or omissions, or due to inadvertent release or disclosure of information sent by service interruptions caused by WowSuite A.I.’s own negligence or your errors or omissions, or due to inadvertent release or disclosure of information sent by you.);
M. LOSS OR LIABILITY RESULTING FROM THE UNAUTHORIZED USE OR MISUSE OF YOUR ACCOUNT NUMBER, PASSWORD OR SECURITY AUTHENTICATION OPTION;
N. UNAUTHORIZED ACCESS OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
O. STATEMENTS OR CONDUCT OF ANY THIRD PARTY USING YOUR SERVICES;
P. LOSS OR LIABILITY RELATING TO THE DELETION OF OR FAILURE TO STORE E-MAIL MESSAGES;
Q. VIOLATION OF ANY THIRD-PARTY RIGHTS, INCLUDING, BUT NOT LIMITED TO, RIGHTS OF PUBLICITY, RIGHTS OF PRIVACY, INTELLECTUAL PROPERTY RIGHTS AND ANY OTHER PROPRIETARY RIGHTS;
R. LOSS OR LIABILITY THAT YOU MAY INCUR RELATING TO WowSuite A.I.’S PROCESSING OF YOUR APPLICATION FOR WowSuite A.I.’S SERVICES, THE PROCESSING OF ANY AUTHORIZED MODIFICATION TO YOUR DOMAIN NAME RECORD, OR YOUR AGENT’S FAILURE TO PAY ANY FEES, INCLUDING THE INITIAL REGISTRATION FEE OR RE-REGISTRATION FEE; AND
S. CYBER ATTACKS OR HACKS;
T. FAILURE OF HOST, INCLUDING CLOUD OR SERVER; AND
U. ANY OTHER MATTER RELATING TO YOUR USE OF THE SERVICES.
WowSuite A.I. disclaims any responsibility for any content, goods and services sold by you or otherwise made available through your website, or the quality or accuracy of any information on your Website. WowSuite A.I. will not endorse, warrant, or guarantee any product or service offered through your website, and will not be a party to or in any way monitor any transaction between you and third-party purchasers of products or services offered through or resulting from the services or use of your website, including, but not limited to, all sales of goods or services, credit card transactions, banking or securities transactions, or any business, service or merchandise agreements. Additionally, the WowSuite A.I. website may contain links to other Internet websites or resources (including partner websites or third-party advertising on a WowSuite A.I. website). You acknowledge and agree that neither WowSuite A.I. nor any third party are responsible or liable in any way for (i) the availability or accuracy of linked websites or resources or (ii) the content, advertising or products on or available from such linked websites. The inclusion of any link on our website does not imply that WowSuite A.I. or a third party endorses any of the linked websites, and you agree to use the links at your own risk.
Additionally, WowSuite A.I. will not be liable to you for any indirect, special, incidental or consequential damages of any kind, (including, but not limited to, lost profits, goodwill, data, the cost of replacement goods or services, business interruption or other intangible losses), whether foreseeable or not, regardless of the form of action, whether in contract or tort, including negligence, even if WowSuite A.I. has been advised of the possibility of such damages.
UNDER NO CIRCUMSTANCES SHALL WOWSUITE’S TOTAL LIABILITY TO YOU OR ANY THIRD PARTY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED ANY AMOUNT PAID BY YOU FOR THE WOWSUITE SERVICES IN THE 30 DAYS PRIOR TO SUCH ACTION OR CLAIM, REGARDLESS OF WHETHER ANY ACTION OR CLAIM IS BASED ON WARRANTY, CONTRACT, TORT OR OTHERWISE, BUT IN NO EVENT SHALL IT EXCEED FIVE HUNDRED DOLLARS ($500.00). YOU ACKNOWLEDGE AND AGREE THAT THIS WILL BE YOUR EXCLUSIVE REMEDY UNDER THESE TERMS OF USE. IN STATES THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, WOWSUITE’S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You acknowledge and agree that any claim or cause of action arising out of or related hereto or any of WowSuite A.I.’s Services must be filed within one (1) year after such claim or cause of action initially arose or such claim or cause of action is permanently barred.
You further agree that any dispute or disagreement relating to or arising out of these Terms of Use or the Services shall be resolved on an individual basis. As such you acknowledge and agree that you may not bring a claim that relates to or arises out of these Terms of Use or the Services as a plaintiff or a class member in a class action, a consolidated action or a representative action. You acknowledge and agree that class actions, representative actions, private attorney general actions, and consolidation with other actions are not permitted.
You acknowledge and agree that the limitations contained in this Section are an essential element of these Terms of Use and absent such limitations, WowSuite A.I. would not enter into these Terms of Use or provide WowSuite Services hereunder. Each Party acknowledges that it has not entered into these Terms of Use in reliance upon any warranty or representation except those specifically set forth herein.
You agree to release, indemnify, defend and hold harmless WowSuite A.I. and WowSuite A.I.’s officers, directors, employees, agents, subsidiaries, partners, contractors, shareholders, attorneys, assigns and affiliates from and against any loss, liabilities, damages, costs, or expenses, including reasonable attorneys’ fees, resulting from any third-party claim, action or demand arising under or relating to:
A. these Terms of Use or the breach of Customer warranties, representations and obligations under service agreement or any other WowSuite A.I. term, rule, policy or agreement;
B. Customer’s failure to perform in accordance with these Terms of Use;
C. Customer’s use of the WowSuite Services;
D. the website, content and/or URLs;
E. Customer’s violation of any third-party rights; or
F. Customer’s application for and registration of, renewal of, or failure to renew a particular domain name
You agree that this indemnification obligation survives these Terms of Use’s termination or expiration. You agree to give prompt, written notice to WowSuite A.I. upon the receipt of notice of any claim by a third party against you which might give rise to a claim against WowSuite A.I., stating the nature and basis of such claim and, if ascertainable, the amount thereof.
When WowSuite A.I. is threatened with a lawsuit or is sued by a third party, WowSuite A.I. may seek written assurances from you concerning your promise to indemnify WowSuite A.I.. Such assurances may, without limitation, be in the form of a deposit of money by you to WowSuite A.I. or its representatives to cover WowSuite A.I. ’s fees and expenses, including, but not limited to, reasonable attorneys’ fees, in any such lawsuit or threat of suit. Your failure to provide such assurances shall be considered by WowSuite A.I. to be a material breach hereof. WowSuite A.I. shall have the right to participate in any defense by you of a third-party claim related to your use of any of WowSuite A.I.’s Services, with counsel of WowSuite A.I.’s choice. WowSuite A.I. shall reasonably cooperate in the defense at your request and expense. You shall have sole and absolute responsibility to defend WowSuite A.I. against any claim, but you must receive WowSuite A.I.’s prior written consent regarding any related settlement.
The use of WowSuite A.I.’s Services to transmit certain kinds of information (including, but not limited to, computer software and other technical data) may violate export control laws and regulations of the United States, whether that information is received abroad or by foreign nationals within the United States. Since WowSuite A.I. exercises no control whatsoever over the information that is received abroad or by foreign nationals within the United States, you agree to comply with all export and import requirements as referenced herein. Since WowSuite A.I. exercises no control whatsoever over the content of information passing through its service, the entire burden of complying with all applicable laws and regulations is your obligation. You agree to comply with such applicable laws and regulations and to indemnify and hold WowSuite A.I. harmless from any damages it may suffer resulting from any violation of the export control laws of the United States.
Section 9. Protecting WowSuite
You promise to protect WowSuite and its people (including officers, directors, employees, contractors, and agents) from any problems that happen because of you breaking these guidelines or any other rules for the website, its content, or services. If WowSuite needs you to protect them, you'll do it at your own cost, as soon as you get a written notice from WowSuite.
Section 10. Keeping Information Private
"Confidential Information" means information that either party shares with the other party. This information could be about their technology, business, customers, employees, or other important information. This information should be kept secret and only used for the purpose of following these guidelines.
Both parties promise to keep the other party's information secret during the time of these guidelines and after. They'll only share the information with people who need to know it and who also promise to keep it secret. They'll also protect the information from being accessed, used, or shared by others. There are some exceptions to this, like if they need to follow the law or share the information with lawyers or financial advisors.
When these guidelines end, the party that received the information must return it or delete it. They can keep a copy if they still need it to follow the rules in these guidelines, the law, or professional standards.
If you give WowSuite any suggestions or feedback about their services, WowSuite can use this information however they want. You agree that WowSuite can learn from your use of their services and use this information to make improvements, even if it doesn't reveal your or your customer's identities.
Section 11. Changes to the Website
WowSuite might change the way their website looks, its content, or the services they offer. They don't have to tell you ahead of time and these changes might cause some problems at first. WowSuite isn't responsible for any issues that happen because of these changes.
Section 12. Website Accessibility
The WowSuite website needs different things like software, hardware, and communication networks to work, and some of these things are provided by others. These things might have problems, and WowSuite can't guarantee that the website will always be available, work without errors, or be safe from interruptions or unauthorized access.
Section 13. Stopping Services
WowSuite can stop providing services on their website for a short or long time, or even forever, at any time. They'll tell you ahead of time if they do. After a reasonable amount of time, WowSuite can delete all the content on their website without making a backup and without telling you again.
You understand that WowSuite isn't responsible for any data that you might lose because they stopped providing services on their website.
Section 14. Governing Laws and Solving Problems
Except as otherwise set forth in UDRP or any similar ccTLD policy with respect to any dispute over a domain name registration, these Terms of Use shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. The application of the United Nations Convention of Contracts for the International Sale of Goods (“CISG”) is expressly excluded.
Any dispute, controversy, difference or claim arising out of or relating to these Terms of Use, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to these Terms of Use shall be referred to and finally resolved by arbitration administered by the American Arbitration Association ("AAA") under the its Arbitration Rules in force when the Notice of Arbitration is submitted. The law of this arbitration clause shall be the laws of the State of Delaware. The seat of arbitration shall be The United States. The number of arbitrators shall be one (1). The arbitrator, and not any federal, state or local court or agency, shall have the exclusive authority to resolve any dispute arising under or relating to the validity, interpretation, applicability, enforceability or formation of these Terms of Use. The arbitration proceedings shall be conducted in English. Neither party will have the right to pursue a claim in court, or have a jury decide the claim, and you will not have the right to bring or participate in any class action or similar proceeding. By using the WowSuite Services, you agree to binding arbitration as provided above.
Except as otherwise set forth in the UDRP or any similar ccTLD policy with respect to any dispute over a domain name registration, any action or proceeding not subject to arbitration pursuant to the immediately preceding paragraph seeking to enforce any provision of, or based on any right arising out of or related to these Terms of Use must be exclusively brought against either of the parties in a competent court located in The United States. In which case, you agree that any judicial proceeding relating to or arising under these Terms of Use or the Services will be instituted only in The United States. You consent to the personal jurisdiction of such court and waive the right to challenge the jurisdiction of such court on grounds of lack of personal jurisdiction or forum non convenience, or to otherwise seek a change of venue. You agree to waive the right to trial by jury in any action that takes place relating to or arising under these Terms of Use or the WowSuite Services (acceptance of these Terms of Use, means you no longer have the right to a jury trial). You also agree to waive the right to file a class action claim relating to or arising under these Terms of Use or the WowSuite Services. We and you both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights.
In the event a claim is brought against WowSuite A.I. in a foreign jurisdiction (a court other than in The United States), WowSuite A.I. will file to have the claim dismissed per your acceptance of these Terms of Use existing at the time of your purchase of Services and your continued use of the WowSuite Services as evidence of acceptance of these Terms of Use and this Section.
The Parties agree that the foregoing obligation is independent from all other obligations herein. You acknowledge that, in the event you initiate a judicial proceeding in any court other than one of the aforementioned courts in The United States, WowSuite A.I. may, and likely will, incur costs and expenses, including attorneys’ fees, to enforce the agreement of the parties regarding the court where litigation relating to or arising out of these Terms of Use or the Services shall be instituted. You expressly agree that Customer will reimburse WowSuite A.I. for any such costs and expenses, including, but not limited to, attorneys’ fees, incurred by WowSuite A.I. within ten (10) days of receiving a written demand from WowSuite A.I. for such reimbursement. You further agree that if you do not timely reimburse WowSuite A.I. within ten (10) days of receiving a written demand for reimbursement, you will be responsible for, and agree to pay, all costs and expenses, including, but not limited to, attorneys’ fees, incurred by WowSuite A.I. in seeking to collect or recover from you the amount reimbursable by you under this Section.
Section 15. Changes to the User's Guidelines
Sometimes, WowSuite might change these User's Guidelines. If they do, the new User's Guidelines will replace the old ones. WowSuite will tell you at least 10 days ahead of time before the changes take effect. If you keep using the WowSuite Services after the changes take effect, WowSuite will consider that you agree with the changes.
Just because WowSuite doesn't enforce a part of these User's Guidelines at one time doesn't mean they're giving up the right to enforce it later. By using the WowSuite website, you're agreeing to be bound by any changes to the User's Guidelines, including changes to any related documents, forms, and policies. If you don't agree with the changes, stop using the WowSuite website.
Section 16. Understanding the Terms
The headings in these User's Guidelines are just for making it easier to read and don't have any effect on what the terms mean.
When "including" is used in these User's Guidelines, it means "not limited to" what comes before it. All examples given are just to help explain, not a complete list.
References to parties, persons, entities, or corporations include appropriate gender and number as needed.
Section 17. Severability
You agree that these Terms of Use are completely severable. If any term or provision is declared invalid or unenforceable, in whole or in part, that term or provision will not affect the remainder hereof and at the discretion of valid adjudication, the remaining terms and provisions will remain in full force and effect. If any provision hereof is found by a court of competent jurisdiction to be invalid, WowSuite A.I. will amend or replace such provision with one that is valid and enforceable and which achieves, to the extent possible, the original objectives and intent of WowSuite A.I. as reflected in the original provision. These Terms of Use will be deemed amended to the extent necessary to make these Terms of Use enforceable, valid and, to the maximum extent possible, consistent with applicable law and consistent with the original intention of the parties.
In the event of termination of these Terms of Use, these Terms of Use survive such expiration or termination, except for Section 21.1 on Force Majeure and Section 2.10.2 on Entire Agreement.
Section 18. Lasting Effect
Even after these User’s Guidelines end or the WowSuite website stops operating, the agreements on intellectual property, limited liability, and indemnification will still be in effect.
Section 19. Fixing Mistakes
We try to make sure the information on the WowSuite website is accurate, but sometimes mistakes happen. If you think something we posted is wrong, please let us know by emailing us.
Section 20. How to Contact Us
If you have a concern about the WowSuite website, you can send us an email and we'll respond quickly. WowSuite can send you notices about these User’s Guidelines through mail, courier, or email, and if you want to send a legal notice to WowSuite, it must be written in English and sent by mail, courier, or email to the specified address or email. All other notices to WowSuite can be sent by email. Notices sent by email are considered received immediately, and notices sent by mail or courier are considered received within two business days.
Section 21. MISCELLANEOUS
21.1 Unforeseen Events/Force Majeure
Neither party is deemed in default hereunder, nor will it hold the other party responsible for, any cessation, interruption or delay in the performance of its obligations under this Terms of Use due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labor strike, lockout or boycott, provided that the party relying upon this Section takes all steps reasonably necessary under the circumstances to mitigate the effects of the force majeure event upon which such notice is based; provided further, that in the event a force majeure event described in this Section extends for a period in excess of thirty (30) days in the aggregate, WowSuite A.I. may immediately terminate these Terms of Use and will have no liability therefrom.
21.2 Conflicts with Other Agreements
In case of conflicts between these Terms of Use and terms governing third-party providers or registry administrators, these Terms of Use take precedence for rights, obligations, and remedies between you and WowSuite.
21.3 No Third-Party Beneficiaries
You acknowledge and agree that nothing herein, express or implied, is intended to nor is to be construed to confer upon or give to any person, other than you, any interests, rights, remedies or other benefits conveyed to you herein.
21.4 No Waiver:
No waiver of any provision of these Terms of Use is effective unless it is in writing and signed by an authorized representative of WowSuite A.I.. WowSuite A.I. 's remedies under these Terms of Use are cumulative and not alternative, and the election of one remedy for a breach does not preclude pursuit of other remedies. The failure of WowSuite A.I. to require your performance of any provision herein does not affect the full right to require such performance at any time in the future. The waiver by WowSuite A.I. of any rights arising out of any breach of any provision herein shall not be taken or held to be a waiver of the provision itself. Any failure by WowSuite A.I. to enforce any of its rights hereunder or any applicable laws does not constitute a waiver of such right.
Neither party will be deemed to have waived any of its rights under these Terms of Use by lapse of time or by any statement or representation other than (i) by an authorized representative and (ii) in an explicit written waiver. No waiver of any rights arising out of a breach of these Terms of Use will constitute a waiver of rights relating to any prior or subsequent breach hereof.

VIII. Security
We take reasonable precautions and follow industry best practices to protect your personal information from being lost, misused, accessed, disclosed, altered, or destroyed inappropriately.

X. PCI Compliance Confirmation Section
By using this Site, you confirm that you currently meet all requirements of the PCI DSS and shall maintain this compliance during the provision of WowSuite Services. You are responsible for ensuring that your systems and processes always comply with PCI DSS.

Upon WowSuite’s 10-day written requests in advance, you must provide the following documents related to your PCI DSS compliance to WowSuite:

A. Summary of Compliance

You will provide us with a summary of your current PCI DSS compliance status when requested. This should include your compliance level, the date of your last assessment, the name and telephone number of the person or entity responsible for the assessment (if applicable). If your PCI DSS compliance status changes at any time, you must notify us within forty-eight (48) hours from the occurrence of such change.

B. Attestation of Compliance (AOC)

You will provide the most recent Attestation of Compliance (AOC) which is a formal document proving that you meet the applicable PCI DSS. The AOC must be issued by a qualified security assessor or your internal security assessor (where applicable).

C. Report on Compliance (ROC)

If available, you will provide us with a copy of the latest Report on Compliance (ROC) issued by a qualified security assessor or a Self Assessment Questionnaire (where applicable) that shows the detailed findings of your PCI DSS assessment.

D. Requests from Card Schemes or Processors
You will promptly provide us with a copy of any requests or notices from card networks (e.g., Visa or MasterCard) or payment processors, especially if they relate to a breach or potential breach of your card data.

E. Reporting a Data Breach

If you discover a breach or suspect that your cardholder data has been compromised, you must inform us immediately in writing within forty-eight (48) hours from the discovery. Your report should explain what happened, what data was affected, and what steps you are taking with your card issuer to resolve the issue and prevent it from happening again.

F. Consequences of Non-Compliance

Failure to maintain your PCI DSS compliance, WowSuite reserves the right to stop your use of the WowSuite Services or any part of it, including deletion of your Service Data and take further actions as stipulated in Section 2.3.6 of the Terms of Use. WowSuite shall not be held responsible for any problems caused by your non-compliance with the PCI DSS. You agree to release, indemnify, defend and hold harmless WowSuite and its officers, directors, employees, agents, subsidiaries, partners, contractors, shareholders, attorneys, assigns and affiliates from and against any loss, liabilities, damages, costs, or expenses, including reasonable attorneys’ fees, fines, penalties, or damages resulting from your non-compliance of PCI DSS.

XI. Geographic Location
Where personal data originating in the European Economic Area is processed by WowSuite A.I. outside the European Economic Area, in a territory that has not been designated by the European Commission as ensuring an adequate level of protection pursuant to applicable privacy law, we agree that the transfer shall be undertaken pursuant to WowSuite A.I.’s Privacy Shield certification, which WowSuite A.I. shall maintain in full force and effect during the provision of WowSuite Services.

XII. Age of Consent
By using this site, you confirm that you are at least the age of majority in your state or province of residence. If you are the age of majority in your state or province of residence and have given us consent to allow any of your minor dependents to use this site, you may do so.

Minors are not allowed to use our Website and Apps. If you are between the ages of 13 and 18 (or the relevant age in your jurisdiction where you are considered a minor), your parent or guardian must agree to our Terms of Use and Privacy Policy (both for themselves and on your behalf) before you can use our Website and Apps.

XIII. CCPA Data Privacy

This section applies specifically to California residents for so long as WowSuite maintains Personal Information (as defined in and to the extent protected by the CCPA) This section prevails over any conflicting terms found elsewhere in the WowSuite legal documentation, but does not otherwise modify the remaining portions not in conflict. All capitalized terms not defined in this section shall have the meanings set forth in the CCPA or the WowSuite terms.

The parties agree as follows:

1. Scope and Applicability.
1.1. This section applies to the collection, retention, use, and disclosure of the Personal Information to provide services to you pursuant to the WowSuite terms or to perform a Business Purpose.

1.2 You are a Business and appoints WowSuite as a Service Provider to process the Personal Information on behalf of you. You are responsible for compliance with the requirements of the CCPA applicable to Businesses.

1.3. WowSuite’s collection, retention, use, or disclosure of Personal Information for its own purposes independent of providing the services specified in the WowSuite terms are outside the scope of this section.
2. Restrictions on Processing.
2.1. WowSuite is prohibited from retaining, using, or disclosing the Personal Information for any purpose other than for the specific purpose of performing the services specified in the WowSuite terms for you, as set out in this section, or as otherwise permitted by the CCPA.

2.2. WowSuite shall not further collect, sell, or use the Personal Information except as necessary to perform the Business Purpose. For the avoidance of doubt, WowSuite shall not use the Personal Information for the purpose of providing services to another person or entity, except that WowSuite may combine Personal Information received from one or more entities to which it provides similar services to the extent necessary to detect data security incidents, or protect against fraudulent or illegal activity.
3. Notice. You represent and warrant that you have provided notice that the Personal Information is being used or shared consistent with Cal. Civ. Code 1798.140(t)(2)(c)(i). You represent and warrant that you have provided notice to, and obtained consent from, any third-party individuals whose personal data you supply to us as part of WowSuite Services with regard to: (i) the purposes for which such third party's personal data has been collected; (ii) the intended recipients or categories of recipients of the third party's personal data; (iii) which parts of the third party's data are obligatory and which parts, if any, are voluntary; and (iv) how the third party can access and, if necessary, correct the data held about them. You further agree to provide such notice and obtain such consent regarding any third party’s personal data you supply to us in the future. We are not responsible for any consequences resulting from your failure to provide notice or receive consent from such individuals, or for your providing outdated, incomplete or inaccurate information.
4. Consumer Rights.
4.1. WowSuite shall provide reasonable assistance to you in facilitating compliance with Consumer rights requests.

4.2. Upon direction by you and within a commercially reasonable amount of time, WowSuite shall delete the Personal Information. 4.2.1 WowSuite shall not be required to delete any of the Personal Information to comply with a Consumer’s request directed by you if it is necessary to maintain such information in accordance with Cal. Civ. Code 1798.105(d), in which case WowSuite shall promptly inform you of the exceptions relied upon under 1798.105(d) and WowSuite shall not use the Personal Information retained for any other purpose than provided for by that exception.
5. Deidentified Information. In the event that either party shares Deidentified Information with the other party, the receiving party warrants that it: (i) has implemented technical safeguards that prohibit reidentification of the Consumer to whom the information may pertain; (ii) has implemented business processes that specifically prohibit reidentification of the information; (iii) has implemented business processes to prevent inadvertent release of Deidentified Information; (iv) will make no attempt to reidentify the information.

6. Mergers, Sale, or Other Asset Transfer. In the event that either party transfers to a Third Party the Personal Information of a Consumer as an asset that is part of a merger, acquisition, bankruptcy, or other transaction in which the Third Party assumes control of all or part of such party to the Agreement, that information shall be used or shared consistently with applicable law. If a Third Party materially alters how it uses or shares the Personal Information of a Consumer in a manner that is materially inconsistent with the promises made at the time of collection, it shall provide prior notice of the new or changed practice to the Consumer in accordance with applicable law.

7. As Required by Law. Notwithstanding any provision to the contrary of the WowSuite terms, WowSuite may cooperate with law enforcement agencies concerning conduct or activity that it reasonably and in good faith believes may violate international, federal, state, or local law.

8. No Sale of Personal Information. The parties acknowledge and agree that the exchange of Personal Information between the parties does not form part of any monetary or other valuable consideration exchanged between the parties with respect to the Wowsuite legal documentation.

XIV. Changes to this Privacy Policy
You agree that we, in our sole and absolute discretion, may modify our Privacy Policy. We will post any such revised Privacy Policy on our website and any such Privacy Policy is effective upon posting. You agree to periodically review our websites, including the current version of our Privacy Policy. You agree that, by using our Services after modifications to the Privacy Policy become effective, you have agreed to these modifications.. If we make material changes to this policy, we will notify you here that it has been updated, so that you are aware of what information we collect, how we use it, and under what circumstances, if any, we use or disclose it. This Privacy Policy is an integral part of our Terms of Use.

If our Company is acquired or merged with another company, we may disclose your Personal Data with our prospective or actual purchasers, investors, or successor entities in connection with a contemplated reorganization or an actual reorganization of our business, in connection with financing, a sale, or other transaction involving the disposal of all or part of our business or assets, including for the purpose of permitting the due diligence required to decide whether to proceed with a transaction, pursuant to assurances of sufficient data handling practices and safeguards.

For residents of the European Economic Area, our disclosure is limited to situations where we are permitted to do so under applicable European and national data protection laws and regulations.

B. No Waiver
Failure to enforce any provision of this Privacy Policy does not constitute a waiver of that provision or any other provision in the Privacy Policy.
